1. DEFINING ELEMENTS

The following terms and conditions apply to every sale of goods by SC Jolidon International SRL, made through shop.jolidon.com by the Buyer.

The following terms are defined under of Ordinance 130 of 31 August 2000 Article 2, 1st paragraph:

2. CONTRACTUAL DOCUMENTS

By placing an electronic order or telephonic order, on the website mentioned above, the Buyer agrees to the communication form (phone or email) through which the Seller runs its operations.

The order will be composed of the following documents in order of importance:

  • Order (with clear indications on the data required for delivery and billing) and its specific conditions

  • Arrangements for payment options

  • Acceptance of Terms and Conditions and processing personal data

  • Order confirmation (through email or phone)

 

If the Seller confirms the order, this will imply full acceptance of the terms of the Order. The acceptance of the Order by the Seller it is considered complete when there is an electronic confirmation (email) or verbal (telephone) from the Seller to the Purchaser, without requiring acknowledgment of receipt from him. The Seller does not consider, in any stage, an unconfirmed order as having a contract value.

The Contract shall enter into force when the Seller confirms the Order. Confirmation is done electronically (e-mail) or by telephone. General terms and conditions of sale will be the base of the agreed Contract, in addition to these terms and conditions being the Guarantee Certificate emitted by the Seller.

 

3. EXTENSION OF THE SELLER’S OBLIGATIONS

The Seller will use his professional and technical knowledge to achieve the results stipulated in the Order and will deliver Goods which satisfy the requirements and specifications of the Purchaser;

Information presented on the Seller's websites is subject to change by Seller without prior notice. Also, from space consideration and consistency information structure, product descriptions may be incomplete, however the seller make efforts to present the most relevant information for the product to be used in the parameters for which it was purchased;

Communication with the store - can be done by interacting with it, posting opinions about products or communication through the contact addresses listed in the "Contact" section of this website. Will be excluded from the site or ignored, opinions or complaints containing insults or inappropriate language. The seller is free to manage the received information without having to bring justification for it.

If an unusually high amount of traffic coming from the Internet network, shop.jolidon.com reserves the right to require users to manually enter captcha code validation type in order to protect site information.

 

4. DIVESTMENT AND SUBCONTRACTING

The Seller may divest and / or subcontract to a third party for services related to order fulfillment, informing the Buyer, but his consent not being necessary. The seller will always be responsible to the Purchaser for any contractual obligations.

 

5. INTELLECTUAL AND INDUSTRIAL PROPERTY RIGHTS (IIPR)

The Buyer understands intellectual property right and will not disclose to any third party or make public (on the internet or media) none of the information received from Seller.

Also, the website name and graphic symbols are trademarks owned by SC Jolidon International SRL and may not be taken over, copied or used without written consent of the owner.

 

6. PRIVACY - ADVERTISING

Information of any kind supplied by Buyer, Seller shall remain the property of the Seller. They may be used only for fulfilling the contract’s purposes but also to send greeting cards, gift coupons or other special messages.

No public statement, promotion, press release or any other manner of disclosure to third parties about order details shall not be made by the Buyer, without prior written consent given by the Seller.

By submitting information or materials through this website, you provide the Seller access to them, an unrestricted and irrevocable right to use, reproduce, display, modify, transmit and distribute those materials or information. You also agree that the Seller can use freely, for its own interest, these ideas, concepts, know-how or techniques that you send through shop.jolidon.com site. Jolidon International SRL will not be subject to obligations relating to confidentiality of the sent information if the current legislation does not provide other specifications in this regard.

Under the legal conditions regarding protection of personal data, the Seller will not disclose without authorization any information relating to the Purchaser. Based on its expressly and unambiguously consent and only within the limits of applicable law, in order to meet your demands by offering new products, it is possible to provide such information to third parties (eg. marketing service providers, other service providers; state agencies, governmental or insurance associations when specific legislation so provides; other companies with which we develop common programs on the market for offering our products and services).

 

7. TERMS - PENALTIES

If there is a situation when the delivery or processing time of the Order can not be respected, the Seller shall notify the Buyer of the estimated time of delivery completion.

If the Seller receives incorrect information regarding the billing or delivery, it will set a new term to honor the order, within 3 working days.

 

8. BILLING - PAYMENTS

The price, payment method and payment term are specified in the Order. The Seller shall deliver to the Buyer an invoice for delivered goods, the Buyer’s obligation being to provide all the necessary information for the issuing of the invoice according to the legislation in force.

 

9. RISKS AND RESPONSIBILITIES

  • Delivery

  • The seller is obliged to send the Goods to the Purchaser in a door-to-door delivery system.

  • Transport - Packaging

  • The Seller will provide proper packaging and will ensure the shipping of the Goods and accompanying documents.

 

10. ACCEPTANCE

The Goods are accepted when they comply with the specifications mentioned in the Order. If the Buyer discovers that the delivered products are not in conformity with the specifications mentioned in the Order, the Seller will bring the products to conformity.

 

11. WARRANTY

All the products sold by shop.jolidon.com benefit from warranty conditions according to current legislation. Products are new and in original packages.

 

12. TRANSFER OF OWNERSHIP

The Ownership of the Goods will be transferred at the time of payment made the Purchaser at the location indicated in the Order. By delivery we understand signing the delivery receipt provided by courier. Due to the fact that the delivery is made in door-to-door system, the courier agent is not authorized by the Seller to allow the Buyer to open the package before signing the delivery, only after signing.

 

13. LIABILITY

The Seller can not be responsible for damages of any kind that the Buyer or any third party may suffer as a result of the Seller’s fulfillment of any of the obligations according to the Order and, in particular, can not be held responsible for the loss of the products.

 

14. MAJOR FORCE

None of the parties will be liable for failure to comply the contractual obligations if such non-execution is due to an event of major force. Major force is an unpredictable event, beyond the control of the parties and that can not be avoided.

 

15. APPLICABLE LAW - JURISDICTION

The present contract is subject to the Romanian law. Any disputes between the Seller and the Buyer will be solved amicably or, where this is not possible, disputes will be resolved by the competent courts from Romania.

 

16. VARIOUS PROVISIONS

The parties of the contract will be considered independent contractors and to none of the parties is not being given the right or authority to assume or create any obligation on on behalf of or at the expense of the other party.
